Investview shares (ticker: INVU) traded to as low as $0.017 and have been trading at prices below $0.02 since the company reported its results for the year ended December 31, 2022. Based on my analysis of the financials Investview shares should be aggressively purchased at a buy limit price of $0.03. The share price should easily double from the recent low and could potentially reach $0.10 should Bitcoin continue to trend higher. The price targets assume that the company is not acquired. However, the probability of this happening is very high. Video: “Why Probability High for Investview to be Acquired” is at bottom of page.

All of my friends, family and followers are being advised to adopt and deploy the defensive “Return OF Capital” defensive strategy.  For more about the strategy which includes a portfolio’s allocation to low price shares an small companies increasing view my “Return OF Capital” vs. “Return ON Capital” video. 

INVU shares have been driven down to going-out-of-business prices for two reasons:

• • Company reported a loss of $8.6 million for year ended 12/31/2022. See March 31, 2022 press release.  
  • Investors perceive company to be a crypto mining play and prices for crypto currencies have taken a beating over last 12 months.

The “headline earnings loss” has provided opportunities for both an immediate short-term gain and also a 10X long term gain.  Investview for its latest 12 months ended December 31, 2022 had:

• • generated $9.4 million of positive operating cash flow
  • current assets of $26 million including $20 million of cash
  • an accumulated deficit or tax loss carryforward of $89.5 million

Investview at a share price of $0.037 or below would be an ideal acquisition candidate based on the above three items alone. 

Investview’s share price has the potential to get to a dime or higher by year end.  Its because the company’s wholly owned iGenius LLC subsidiary which accounted for 80%  of the company’s revenue weathered the 12-month crypto storm.  The storm began in November of 2021 at Bitcoin’s peak and ended in November 2022 at Bitcoin’s bottom. 

The chart below depicts that Bitcoin steadily declined from its November 2021 all-time high until it bottomed at $15,599.05, on November 21, 2022 and the digital coin’s bottoming process began.  The chart illustrates the narrow trading range for a Bitcoin before it rose to above $18,000 on January 12, 2023.

For the 12 months ended 2022, which covered most of the crypto 2021-2022 winter, iGenius’  subscription revenue declined by 1.2% from $48.86 million to $48.26 million.  The minimal revenue decline is significant.  It speaks volumes for the stickiness of and the value that the company’s iGenius subsidiary provides to crypto traders, etc.  Its especially since a significant number of iGenius’ subscribers trade crypto currencies.

iGenius offers multiple services and products, both domestically and internationally, through a direct selling network, also known as multi-level marketing.  Their independent distributors offer products and services through a subscription-based revenue model to a large base of customers or members.  These services and products consist of the offering of research, education, and investment tools including artificial intelligence bots that enable members to auto trade.   All of the products and services are designed to assist the self-directed investor in successfully navigating the financial markets, including equities, options, FOREX, ETFs, binary options, and cryptocurrencies.   There are multiple tiers of membership at varying upfront and monthly subscription costs, which provide members with the ability to select from a range of membership packages to meet their product and service needs and price point.

The members continued to pay their subscription fees through the crypto winter because the iGenius offerings include a guarantee of satisfaction to each new subscriber or member.  During the designated trial period, which is 10 days from initial purchase for domestic customers and 14 days from initial purchase for international customers, should the member for any reason not be satisfied the member may request a full refund of their subscription.  iGenius’ full satisfaction guarantee has created a culture that reduces subscriber turnover.  The result is the company’s subsidiary has a large and low turnover base of passionate members.  The photo below was taken in 2021 at an event for members that was held by iGenius in Egypt in 2021.

The Zoom in below is for the above photo.  It depicts that the audience consists mostly of young men and women.  All of the world’s crypto, stock brokerages and financial services providers would die to have a customer acquisition model that could attract a global demographic.

The large and sticky subscriber base is yet another reason why Investview has a high probability to be acquired.  Think or Swim (Investools), which ranks as my best ever buy and hold recommendation with a return of 150.9 times investment, had a model that was almost identical to iGenius.  The only difference was that Investools utilized a brick-and-mortar seminar strategy to educate its students.  The student/subscribers were easily converted to brokerage clients after the company acquired online broker Think or Swim.  Investview’s digital model is much more robust and scalable when compared Investools.   

For Investview shares to get to back above the April 2021 $0.79 high the company will have to acquire an online crypto or a securities brokerage firm.   The acquisition would enable it to fully leverage iGenius’ subscriber base.  All have online brokerage accounts to trade stocks and crypto currencies.

The wild card for Investview, which could potentially increase the share price to well above 10₵, very quickly is its Bitcoin mining operation.  The mining division accounted for only 19.4% of 2022 revenue.  This compared to mining accounting for 32.2% of revenue in calendar 2021. 

Investview’s mining revenue and mining profits are highly correlated with the price direction for Bitcoin.   The chart below depicts the share price patterns for Investiew and the three other publicly traded bitcoin miners.  It depicts that Investview’s share price has a history for lagging the upside price moves for the shares of the three other miners.  This is not surprising since INVU shares trade for less than a $1.00 and there are no institutions which hold the shares.

Unless Investview’s shares can increase to and maintain a price of $0.04 or above the probability is high that the company will be acquired. My recommendation is for shares to be aggressively purchased at limit price at or below $0.03 per share. Investview will continue to be monitored closely. The limit price for the shares will likely be raised in the future and published on ShinyPennySTocks.com when warranted.

The timing is excellent to buy and hold the shares of SQI Diagnostics (SQI) for a 10X to 100X gain.  The share price at its all-time low in early March 2023 was 99.25% below its 2011 all-time high.  SQI shares trade in Canada (symbol:SQD) and also in the U.S (symbol: SQIDF).

Based on my 46 years of experience in the markets the best time to buy an early-stage medical biotech, medical device or testing company that has Intellectual Property (IP) which requires government approval, is after the company’s IP submission gains government approval.  Below is the typical IPO-to-government-approval share price depreciation/appreciation cycle for medical companies that have proprietary IP:

• • Company with IP raises money via public offering.
  • Clinical trials and waiting game for regulatory approval begins
  • Share price subsequently climbs to all-time high in less than a few years.
  • Share price trends lower and to all-time low since approval always requires more time than projected.
  • Government approval obtained at or near all-time low.
  • Share price climbs back to all-time high.

Sarepta Therapeutics, Inc. (SRPT) is a good example.  The chart below depicts that SRPT’s share price followed the cycle.  The high share price on the 06/04/1997 date of its IPO was $40.50.  After reaching an all-time high of $162.00 on 02/09/2000 SRPT declined to an all-time low of $2.70 on 11/21/2008.  On 09/19/2016, when Sarepta’s first drug was approved by the FDA, a share could have been purchased for as low as $28.10.  Since then, a SRPT share has traded as high as $181.83.  The share price eclipsed its 2000 all-time high on 10/01/2018.  For the approximate 24 months from the approval to the new high the share price multiplied by five times. 

The chart below depicts that SQIDF’s share price has also been following the cycle.  The share price on 8/12/09 its first day of trading closed at $1.78.  The shares reached their all-time high of $3.60 on 06/27/2011.  The share priced reached their all-time low of $0.027 on 03/02/2023.

SQI Diagnostics is a leader in the science of lung health. They develop and manufacture 15-minute point of care tests for respiratory health and precision medicine.   SQI’s tests simplify and improve respiratory distress testing, donor organ transplant informatics and post transplant patient monitoring.

In short, SQI helps doctors identify risks to their patient’s  lung health so they can make good choices and deliver the best  and most economic care possible.

SQI has developed the following completely novel tests that address unmet needs in respiratory health, which have either been approved by or are awaiting approval from the Health Canada, U.S. FDA and EU EMEA regulatory bodies:

• • Transplantable Lungs- SQI has developed TORdx Donor Lung Test -a novel diagnostic test with over a 80% accuracy rate.  This test will enable surgeons to know if a donor lung will be highly likely to do well in the recipient’s body  and to increase the unmber of lungs that are transplanted (LUNG).  Currently over 80% of all donor lungs are discarded because there is no test to help decide between good and bad donor lungs. Lung Transplants cost over $1,000,00.00 USD and are one of the largest profit centers for any hospital.  There are no diagnostic tests available currently, a surgeon simply looks and feels the organ for any impurities. To determine if it will be accepted.

In a recent announcement by the Federal Government is going to shake up the transplant business and how transplant organs are managed.  The new system is completely in SQI’s testing favor.  See “Troubled U.S. Organ Transplant System Targeted for Overhaul”, Washington Post, 03/22/23.

• • Covid antibodies- SQI’s self-administered test, The EXACT ANTIBODY TEST is the ONLY QUANTITATIVE test that measures all 6 biomarkers.  The level of antibodies is critical.  It indicates the degree of immunity for vaccinated and unvaccinated individuals.  This test with over a 99% accuracy rate will also tell you if your immunity is from a vaccine/booster or whether you had Covid.  If the antibodies are below a certain threshold the individual now can take control of their own health.  They can decide whether they want to take a vaccine/booster, socially distance or wear a mask or not go out in public.  This test is covered by most major insurance companies.

• • Respiratory diseases diagnostics (RALI-Dx Triage Test) tests- SQI’s RALI-DX was developed to be utilized by hospitals. RALI-DX is a triage tool aid doctors to make better treatment decisions – send patient home or admit to hospital  or to treat with advanced respiratory  care measures.  This test is currently approved by Health Canada.  In Emergency Room Triage, patients with respiratory infections or trauma are  either sent home to rest and quarantine or are admitted to the hospital because the probability is high for the lungs to go into distress.  RALI-fast will be a test, similar to the “heart attack” point of care test by Biosite, that will help doctors send patients home or treat them aggressively – no test currently does this – and all in 15 minutes.   50% of all intensive care unit (ICU) admittances are related to a patient’s inability to breath normally.   Thus, since all hospitals are overcrowded, every hospital on the planet is in need of SQI’s RallyDX diagnostic system.    It can cost over $10,000 a day to keep a patient in the ICU — even more if they are intubated.  A 15 minute test by SQI could significantly reduce this cost and overcrowding in the ED.

The table below contains the status of the approvals for SQI’s three key product lines by the U.S., Canadian and European Union regulatory bodies.   All three provide significant upside for SQI and its shareholders.

SQI Tests underdevelopment

• • RALI-fast is a 15-minute version of the test that is nearing completion and can be used to triage ED patients and to monitor ICU patients. This is a massive market — there are over 25 million patient days in US ICUs alone.  The ICU Test has been trialed in a leading ICU with very positive feedback. 
  • Breathe — a simple, take-at-home test for lung transplant patients that monitor for post-operation infection which occurs in over 55% of lung transplant patients, and another for organ rejection.  (Comparable is CAREdx). This test where patient’s breath is collected replaces a complicated, expensive and risky in-hospital surgical biopsy procedure.  Breathe tests extend SQI’s product line into the highly valuable post-transplant monitoring markets like NASDAQ listed CAREdx (symbol: CDNA) which at 3/30/23 had a market cap of $489 million.

At first blush the debt on SQI’s Balance Sheet indicates substantial risk.  However, the risk for the Balance Sheet is mitigated since $9.7 million of the $16.2 million in total debt were loans that were provided by the company’s board members.  Most importantly, three SQI board members (Insiders) hold 75.4% of SQI common shares and 86.2% of its outstanding warrants: 

The three key directors, are among the most prominent members of Canada’s professional investor and investment banking community. 

• • Wilmot Matthews, former investment banker and Vice Chairman of BMO Nesbitt Burns. He and his wife donated $25 million to city of Toronto for a park. 
  • Clive Beddoe, founder of Hanover Holding and Investment Company, which manages approximately $200 million. Also founder of Westjet Airlines whose investment banker was Wilmot Matthews.  
  • Gerald Connor, founder of Cumberland Private Wealth Management, Inc., one of Canada’s largest investment management firms.

The paragraph below is an excerpt from the company’s March 28, 2023 “SQI to Focus on Development of Point of Care Products In Respiratory Health” announcement.

“As a part of SQI’s new strategy going forward, the Company has reduced its workforce from approximately 44 full-time employees to 20 full-time employees to focus on maintaining and developing the Company’s key capabilities of clinical and regulatory expertise, managing outsourced product development and outsourced manufacturing. The Company expects to reduce its payroll and cash burn by approximately 50% on a monthly basis. In connection with this evolution of the Company’s strategy, SQI intends to entertain offers from potential buyers for the Company’s now, non-core business that is based on lab-based instruments. The Company’s leadership will remain intact, including regulatory, clinical and finance roles.”

On 3/24/23, SQI announced that its insiders would be selling their shares to utilize the proceeds to exercise the money warrants that they hold.  See “SQI DIAGNOSTICS ANNOUNCES PROPOSED INSIDER SALES AND WARRANT EXERCISES TO FUND COMPANY”.  The announcement stated that insiders, who held warrants in SQI, would be selling shares at the “prevailing market price”.  The proceeds from the sales were to be utilized to exercise the warrants they hold at exercise prices of $0.12 to $0.21 per share.

Conclusion

SQI’s strategy of having insiders sell shares at below the warrant exercise prices and then to utilize the proceeds to exercise the warrants they hold at prices which are above the prices the shares were sold for is not new.  The strategy was successfully deployed by the three insiders to provide capital to SQI on three prior occasions.

SQI has the best risk reward ratio of any stock that I have ever recommended throughout my 46 year career.  SQI is an extremely rare opportunity for two reasons:

• • Established or added to their legacies- SQI is a “change and improve the world” project.  
  • Protected or enhanced their reputations- A failure for any company in which they are board member would hurt their reputation.  
  • Increased their net worths by at least $174 million

To finance SQI, the three whales utilize a strategy of selling their common shares at prevailing market prices when it needs capital.  They then utilize the proceeds to exercise their warrants which have higher strike prices than the price their common shares were sold.  Thus, these whales provide an extremely rare opportunity for suckerfish or whalesuckers to have a free ride on their backs (purchase shares in open market near all-time low) to make approximately 20 times their investment.

SQI Diagnostics

Investview’s share price has been obliterated due to the company having a significant bitcoin mining operation.  The shares price is reflecting that the Investview is a bankruptcy candidate.   The chart below depicts the share prices of the five largest publicly traded bitcoin miners and bitcoin.   All of the minershave declined by at least 80% in 2022.  One of them, Core Scientific (Symbol:CORZ), recently declared bankruptcy.

For two reasons Investview is not a bankruptcy candidate:

1. Investview is not a pure bitcoin mining play. 76% of Investview’s revenue for its nine months ended 9/30/2022 were derived from subscription revenue.  Investview has more than 20,000 distributors who sell its educational trading products worldwide.  

2. Based on my analysis of Investview’s financials it is not a bankruptcy candidate. Since Investview has a tangible book value of $24.2 million the probability is very high that the it could be acquired at a premium to its current market cap (share price X shares outstanding) of $29.97 million.  INVU’s independent distributors who are in 120 countries is extremely valuable to any and every online broker or crypto broker.  The photo below was taken at an Investview distributor event in Egypt in 2021.  The photo depicts the wide range of demographics which include businessmen and young men & women.   

The tables below depict the comparisons of Investview’s key Financial Statement metrics for the quarter ended December 31, 2018 versus the nine months ended September 30, 2022.  2018 was chosen as the comparative year since December of 2018 was the last time that Investview shares could have been fetched at a penny or under.  

The key Income Statement metrics in the table below depict that Investview’s revenue increased by at least 106% for its nine months.  Even more importantly, its income from operations went from a negative $3.9 million to a positive $6.4 million.  Even though INVU’s revenue for the quarter had declined versus the 2021 quarter its annualized subscription revenue was $47.2 million at September 30, 2022. 

The table below depicts INVU’s key Balance Sheet metrics.   Current assets which grew by over 4,000% since 2018 and exceeded its Tangible Book Value at 9/30/2022.  Investview’s Current Ratio went from below 1.00 in 2018 to 2.2 in its recent quarter.  Investview’s shares outstanding only increased by a much slower pace of 19.32% from 2018 to 2022.  Most importantly, since INVU generated $7.3 million of operating cash flow for its nine months ended and had $26.6 million of cash September 30, 2022, there is no reason for the company to have to raise cash to dilute its shareholders.

Due to its shares having declined substantially since 2021, Investview and its shares are a tax loss sale candidate. This means that the share price will likely go to a new low for the year this week.  Many who purchased the shares at much higher prices and have held them for more than a year will sell them to create a tax loss that they can use to offset capital gains taken during the year.  The chart below depicts the Investview’s low since 2018 occurred in December of 2018. The lows were because INVU shares were also a tax loss candidate in December 2018.   

Investview shares could easily multiply by several times by the end of the first quarter of 2023 when compared to their current price.  The price of a bitcoin which is also a tax loss sale candidate could easily increase by 50% to 100% from their 2022 low.  The chart below depicts Bitcoin’s price from December 2020 to December 2022.  The green shaded area in the chart depicts the sideways pattern for the price of a Bitcoin from November 6, 2022 through December 25, 2022.  The chart indicates that the crypto currency has already, or is in the process of bottoming.

Upon Bitcoin bottoming and its price increasing the revenue and profits of all of the crypto miners will increase.  This will result in the share prices of the miners bouncing.  A good rule of thumb is the price of the shares of those companies that have declined by at least 80%, and which have not gone bankrupt, will bounce to within 50% of their trailing 12-month highs.  Since the highest price of INVU shares for 2022 was 0.1065 the share price could easily bounce back to $0.5 in 2023 for a gain of approximately 400 percent from the current penny per share price.

Investview’s SEC filing on (3/31/22) was extremely significant.  Its shares (symbol:INVU) should be aggressively purchased at or under ShinyPennyStocks.com’s $0.10 buy limit price.   The shares could soon pierce through the $0.10 barrier based on what was revealed in the filing and/or upon my new report that is currently in progress and which will be published next week.  My report will provide the rationale for why the share price could reach $4.03 by 2027.   See 3/22/22 “Report in Support of $4.03 INVU share price, to soon be available”.

The SEC filing disclosed that Investview had delayed the filing of its Financial report for its fiscal year ended 12/31/21, which was due on 3/31/22.  The delay was to provide its newly appointed CEO, extra time to thoroughly review its financials.  In addition, Investview disclosed that it had:

• “Substantially increased the scale and scope of its operations since the previous fiscal year ended 3/31/22. It is anticipated that there will be a significant increase in revenue and earnings from the previous fiscal year (the twelve months ended March 31, 2021) to the current transition period (the nine months ended December 31, 2021)”

Significance:  A company’s revenue and earnings for a stub period (9 months) being substantially higher than revenue and earnings for a full period (12 months) is extremely rare. For INVU, this is especially a significant development.  It indicates that kerosene has been poured on INVU’s already raging growth fire.

• Changed its fiscal year from March 31 to December 31.

Significance:  From my experience a rationale for a company to change its fiscal year to a calendar year end (December 31st) is to meet the requirement for a listing on a national securities exchange.   My soon to be published report will elaborate on the biggest reason for INVU shares continue to underperform even though the company’s FREE CASH FLOW, Revenue and EPS growth has continued to break record after record.  It is because the shares are not listed on NASDAQ or the NYSE.  Upon the shares becoming listed my unadjusted share price target for 2022 is $0.30 based on my free cash flow yield metrics.  For more about my Free Cash flow Yield valuation metrics read 11/12/21, “Investview, Ridiculously Undervalued! “Unadjusted” is included since it’s likely that INVU will be required to reverse split its shares for them to become listed.  The table below depicts that based on a pre-split or a post-split price 100,000 INVU shares @ 4/2/22 are projected to be valued $30,000.

As soon as Investview announces the split and the split ratio, the $0.30 target price for 2022 will be adjusted accordingly.  Subscribe to ShinyPennyStocks.com to receive alerts about the reports which are published by the website. 

I highly recommend that that INVU shares have a 5% of a portfolio weighting.   It’s especially since I have predicted that the Secular Bull market which began in March of 2009, ended on January 4, 2022.  See my 03/20/22  “Due to inflation’s effect on PE, S&P 500 to decline 45%” article.  It explains that a new secular bear, the first since 2000-2009, began at the early January all-time  high.  Based on the prior secular bears, which are depicted in the table below, the S&P 500 will decline by a minimum of 47% and will have a minimum duration of 8 years.   The asset class which produces all of the long-term capital gains during a secular bear are small companies and those which have low stock prices.

The very first stock which was recommended on ShinyPennyStocks.com was Upper Street Marketing (UPPR) in March of 2019 at a price limit of $0.50.  Due to the share price increasing rapidly the limit was raised to $0.85 and then to $1.00.  Then the bottom fell out after the share price reached $2.00. The SEC halted the trading of the shares because of irregularities in the company’s capital raising activities.   UPPR quickly became the site’s biggest loser.

What happened was extremely frustrating. I had believed UPPR, a Hemp grower had the potential to be a showcase recommendation for the newly launched ShinyPennystocks.com.  I had known Jim Janis who had introduced UPPR to me since when I worked on Wall Street in the 1980s.  Mr. Janis informed me that his intention was to file a lawsuit on the behalf of the shareholders against the company’s executives for mismanagement.   He asked me to help him obtain the financing to file a lawsuit.  In my March 2021 request for help message to UPPR investors and my contacts I said:

“I will fight tooth and nail for those who I have recommended something to which does not work out.  Throughout my 44 years I have realized that my strongest relationships were built from following up on the losing recommendations until they became winners.”

The lawsuit was settled through negotiation in August 2021.  Joseph Earle, Gordon McDougal, and Mark Livingston resigned as officers and as members of the Board of Directors.  An aggregate of 60 million of their UPPR shares were canceled and returned to the company’s treasury.  The former officers forgave any money alleged to be owed to them by the company.

A new management team, Board of Directors, and Advisory Board was installed.   Mr. Janis became Chairman and CEO.  Former registered investment advisor John D. Quinn became the President.  The two have worked tirelessly to jump through all of the hoops to get UPPR shares trading again.

The new management team has made substantial progress:

• Tax returns with the State of Oklahoma are now current
• All fees with the company’s transfer agent, Standard Registrar and Transfer, are now current
• Most outstanding company debt has been paid or converted into common stock

The top priority is to complete the audit and reinstate the trading of the stock.  Auditable financials have been submitted to the firm’s accounting firm, Pinnacle.  The company anticipates the completion of the audit in late summer, barring any unforeseen issues.  The company intends to file a Form 10 registration statement with the SEC as part of the process to recommence trading on the OTC markets.

Upper Street Marketing’s future is very exciting.  UPPR Inc. has transitioned its business to develop products from Hemp which nurture the planet.  UPPR is now in the sustainable plant-based biomass industry.

Passage of Farm Bill Doubled projected size of US Cannabis industry Overnight

The 2018 Farm Bill which was signed by President Trump on December 20, 2018, will double the projected size of the cannabis industry from $20 billion to $40 billion by 2022.  The federal legalization of hemp and CBD in the United States has created an opportunity for the growers of CBD pharmaceutical grade hemp and the producers of CBD oils and distillates to make a fortune.  This includes the management and shareholders of Upper Street Marketing (OTC: UPPR) which recently acquired Colorado based Growing Springs Holdings Corporation.  The Cannabis company’s focus is on vertically integrated hemp genetics, large scale hemp cultivation and cannabidiol (CBD) extraction.

The Farm Bill legalized hemp and cannabidiol, or CBD which is produced from the hemp plant, by removing them as schedule 1 drugs under the Controlled Substances Act.  The bill enables the hemp derived CBD industry to quickly become an equal rival and in fact exceed the US legal marijuana industry, which itself is projected to be at $20 billion in 2020.  Based on the passage of the bill, the Brightfield Group projected that the CBD industry will grow to $5.7 billion in 2019 and to $22 billion by 2022.  To put the revisions into perspective Brightfield had projected, prior to the passage of the Farm Bill, that the CBD industry would grow to $1.65 billion by 2021.  The graph below contains Brightfield’s revised projections.

The CBD industry has the potential to grow to a multiple of the size of the legal marijuana Industry assuming that Marijuana is not federally legalized and remains on the controlled substance list.  Businesses which utilize CBD that is produced from industrial hemp have huge advantages over marijuana businesses since they can scale without stepping on Federal laws or fear of prosecution.  Unlike marijuana, a CBD business will be able to do the following as the assimilation of the Farm Bill rolls out in Federal and state jurisdictions:   

• Market and sell CBD products in all US States.         
• Open bank accounts with national banks.
• Accept investments from US institutional investors and investment banks.

In addition to the above, CBD oil has many of the same medical attributes as the THC based CBD oil which is derived from the marijuana plant.   Since hemp derived CBD has a significant head start the majority of the new products which address the ailments in the table below will be derived from the hemp plant instead of the THC in the marijuana plant.   

CBD has huge potential in the global over-the-counter and prescription pain management industry which is projected to be at $77.1 billion by 2023.   The industry is ripe for disruption by CBD which is natural pain reliever.   The side effects from the existing pain management drugs are significant.  

The chart below contains some of CBD’s many different uses and applications.  Now that hemp derived CBD has become legalized, I expect the number of medical uses and applications to multiply very quickly.   As early as 2020 CBD products could become available in the drug store chains and in Target, Wal-Mart and many other retail outlets. 

The rapid growth of CBD products is creating significant demand for US grown hemp which is utilized to produce distillates and oils.  To meet the demand, I project that US farmers will have to plant one million acres of CBD grade hemp.   There were 78,176 acres of hemp which were grown in 2018 in the states which had legalized hemp prior to the passing of the Farm Bill.   

However, I was unable to determine the percentage of acres of hemp planted in 2018, which was applicable to CBD grade hemp.  The CBD grade hemp distinction is important since all US farmers can now also grow hemp which is used to produce clothing and industrial products.  Hemp grown to be utilized to produce CBD oils and distillates, must meet the following standards:

• Hemp which produces CBD distillates and oils must be pesticide free since it is ingested or applied topically
• Be free of all contaminants, heavy metals and microbials.
• Have CBD concentrations in the range of 10% to 20% to be viable for extractions.

The potential profits for the growers of CBD grade hemp and producers of CBD oils and distillates are substantial.  Based on the latest wholesale price per ounce and the wholesale price per kilo of CBD isolate and/or distillate CBD oil, an acre of CBD grade hemp could generate as much as $200,000 of sales for the grower and producer.  Given the exponential increase in the demand by the manufacturers of CBD based products that is soon coming, I predict the wholesale prices for CBD oils and distillates will skyrocket by the end of 2019

Growing Springs Holdings Corporation (GSHC) is a diversified products and services company focused on vertical integration for all phases of hemp cultivation and CBD extraction.  GSHC will apply this integration to products that include, but are not limited to, a variety of wholesale food supplement and pet supply providers seeking wholesale cGMP pharmaceutical quality products at favorable pricing.  GSHC will apply FDA cGMP to proprietary hemp genetics, custom organic nutrients, organically certified soil and CBD extractions.

To grow the hemp and produce the CBD distillates and oils needed to fully develop the business plan the company is in the process of raising $15 million.  To raise the capital, I am projecting that the company could potentially have to issue as many as 100 million new shares.  Assuming the company obtains its financing and hits its projected revenue and profits, its share price could reach $5.  Should the company raise its capital at a higher valuation, utilize debt financing or in the event that the wholesale prices for CBD oils and distillates might skyrocket the share price could potentially be much higher than $5. 

Finally, I believe that the share prices of the hemp-based CBD companies will be much less volatile than the share prices of their marijuana cousins. It’s because a US CBD company can become listed on the NYSE or NASDAQ while a US marijuana company can-not.
